In Domain ad i have 2 DC server and one member that was
in the past NT4 BDC that was down grade and was upgrade
from Nt4 to Win2k, now we kepp losing all people member
in Domain Admins, but no other groupe is doing this like
Enterprise Admin, we have in domain admins olny
Enterprise Admin\User ,but do not have
Administrator\bultin.

I am not exactly sure what you are saying is the problem, but the upgraded NT4 "member server" will need the "basicsv" security template applied as a good start. An Upgraded NT4 computer does not get the template applied like a "new" install does.
Actually, you may want to apply the "basicsv" template to all of the W2K servers to get a good baseline from which to begin diagnosing the problem.
